1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of the services provided by AdNio LLC, a Wyoming Limited Liability Company ("Company," "we," "our," or "us"). By accessing our website adnio.agency, engaging our services, or entering into any agreement with us, you ("Client," "you," or "your") agree to be bound by these Terms.

2. Description of Services

AdNio LLC provides digital marketing and web development services, including but not limited to:

• Paid advertising campaigns (Meta Ads, Google Ads)
• Search Engine Optimization (SEO)
• High-quality backlink packages
• Website creation and development
• Social media growth strategies and automation
• Digital consulting and business growth planning

3. Service Agreements and Contracts

3.1 Service Proposals

All services are provided based on detailed proposals or service agreements that outline scope, deliverables, timelines, and pricing. These agreements become binding upon acceptance by both parties.

3.2 Service Modifications

Any changes to the agreed-upon services must be documented in writing and approved by both parties. Additional work outside the original scope may result in additional charges.

3.3 Service Performance

While we strive to achieve the best possible results, digital marketing outcomes can vary based on factors beyond our control. We do not guarantee specific results, rankings, or performance metrics unless explicitly stated in writing.

4. Payment Terms

4.1 Fees and Billing

Payment terms are specified in individual service agreements. Unless otherwise agreed:

• Project fees are due according to the payment schedule outlined in the agreement
• Monthly retainer fees are due in advance
• Late payments may incur additional fees and service suspension
• All fees are non-refundable unless otherwise specified

4.2 Expenses

Client is responsible for all third-party expenses including but not limited to advertising spend, software licenses, stock photos, and premium tools required for service delivery.

4.3 Taxes

All fees are exclusive of applicable taxes. Client is responsible for all applicable federal, state, and local taxes.

5. Client Responsibilities

Client agrees to:

• Provide accurate and complete information necessary for service delivery
• Grant necessary access to accounts, platforms, and systems
• Respond to requests for information in a timely manner
• Review and approve deliverables within agreed timeframes
• Comply with all applicable laws and platform policies
• Maintain confidentiality of login credentials and account information

6. Intellectual Property

6.1 Ownership of Deliverables

Upon full payment, Client owns the rights to custom deliverables created specifically for their project, including custom website code, graphics, and content. However, AdNio LLC retains rights to:

• Proprietary methodologies and processes
• Pre-existing intellectual property
• General knowledge and experience gained

6.2 Portfolio Rights

AdNio LLC reserves the right to use completed work in portfolios, case studies, and marketing materials unless otherwise agreed in writing.

6.3 Third-Party Materials

Client is responsible for ensuring they have proper rights to use any materials, images, or content provided to AdNio LLC.

7. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the course of the business relationship. This obligation survives termination of services.

8. Disclaimers and Limitations

8.1 Service Disclaimers

AdNio LLC provides services "as is" and makes no warranties regarding:

• Specific results or performance metrics
• Search engine ranking improvements
• Social media growth rates
• Advertising campaign performance
• Website traffic increases

8.2 Limitation of Liability

AdNio LLC's total liability for any claim arising from services provided shall not exceed the total amount paid by Client in the 12 months preceding the claim. We are not liable for indirect, consequential, or punitive damages.

9. Termination

9.1 Termination by Either Party

Either party may terminate services with 30 days written notice. Client remains responsible for payment of all services performed up to the termination date.

9.2 Immediate Termination

AdNio LLC may immediately terminate services if Client:

• Fails to pay invoices when due
• Violates these Terms of Service
• Engages in illegal or unethical practices
• Requests services that violate platform policies

9.3 Post-Termination

Upon termination, AdNio LLC will provide Client with completed deliverables and transfer account access where applicable. Client data may be retained for legal and business purposes.

10. Indemnification

Client agrees to indemnify and hold AdNio LLC harmless from any claims, damages, or expenses arising from:

• Client's use of delivered services or materials
• Violation of third-party rights
• Client's business practices or activities
• Content or materials provided by Client

11. Force Majeure

Neither party shall be liable for delays or failures in performance caused by circumstances beyond their reasonable control, including but not limited to natural disasters, government actions, or platform policy changes.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Wyoming, United States. Any disputes shall be resolved in the courts of Wyoming, and both parties consent to such jurisdiction.

13. Dispute Resolution

Before pursuing litigation, parties agree to attempt resolution through good faith negotiation. If unsuccessful, disputes may be submitted to binding arbitration in Wyoming.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with any signed service agreements, constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements relating to the subject matter.

16. Modifications

AdNio LLC reserves the right to modify these Terms at any time. Updated terms will be posted on our website with the revision date. Continued use of services constitutes acceptance of modified terms.

17. Independent Contractor Relationship

AdNio LLC is an independent contractor and not an employee, partner, or agent of Client. Nothing in these Terms creates a partnership, joint venture, or employment relationship.

18. Communication and Notices

All official communications and notices shall be sent to the email addresses provided in service agreements. Electronic delivery constitutes valid notice.
