Both parties agree to maintain confidentiality of proprietary information shared during the course of the business relationship. This obligation survives termination of services.

AdNio LLC's total liability for any claim arising from services provided shall not exceed the total amount paid by Client in the 12 months preceding the claim. We are not liable for indirect, consequential, or punitive damages.

Either party may terminate services with 30 days written notice. Client remains responsible for payment of all services performed up to the termination date.

Neither party shall be liable for delays or failures in performance caused by circumstances beyond their reasonable control, including but not limited to natural disasters, government actions, or platform policy changes.

These Terms are governed by the laws of the State of Wyoming, United States. Any disputes shall be resolved in the courts of Wyoming, and both parties consent to such jurisdiction.

Before pursuing litigation, parties agree to attempt resolution through good faith negotiation. If unsuccessful, disputes may be submitted to binding arbitration in Wyoming.

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with any signed service agreements, constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements relating to the subject matter.

AdNio LLC reserves the right to modify these Terms at any time. Updated terms will be posted on our website with the revision date. Continued use of services constitutes acceptance of modified terms.

17. Independent Contractor Relationship

AdNio LLC is an independent contractor and not an employee, partner, or agent of Client. Nothing in these Terms creates a partnership, joint venture, or employment relationship.

All official communications and notices shall be sent to the email addresses provided in service agreements. Electronic delivery constitutes valid notice.
